DAWN End User Licence Agreement

DAWN is licensed to you free of charge for the public beta, which expires on 30 September 2026. Two things in this licence deserve your attention before you install it: DAWN can operate your Mac and other applications on it, and it sends your work — including screenshots when Mac control is active — to the AI provider you connect. Both are covered in plain terms below.

01Accepting this licence

This is an agreement between you and Marya Labs for the DAWN software. By installing or using DAWN, you accept it. If you do not accept it, do not install DAWN, and delete any copy you have.

The Terms of Service, Acceptable Use Policy, Public Beta Terms, and Privacy Policy also apply.

02What you are installing

DAWN is an AU/VST3 plugin with an AI agent inside it, together with a desktop application that must be running for the agent to work. Both parts are covered by this licence.

Operating system
macOS on Apple Silicon (M1 and later). Intel Macs, Windows, and Linux are not supported.
Host DAW
Ableton Live 12. Ableton Live Suite 12 is strongly preferred for full functionality.
Other DAWs
Pro Tools and FL Studio are supported only as specific, limited integrations — session and track operations for Pro Tools, and transport and mixer control for FL Studio. This is not general compatibility, and it is not feature parity with Ableton.
AI provider
Your own account with a supported provider. DAWN includes no AI model and no included usage.

MeterStack is not part of DAWN. It is a separate free product with its own installer and its own licence. Installing DAWN does not install MeterStack, and the two do not exchange data in this beta.

03Your licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use DAWN on Macs that you own or control, for the duration of the public beta, for your own music production — whether personal or commercial.

The licence is free of charge. It is limited to the beta period and ends on the date in the next section.

What the licence does not allow

  • Reselling, renting, sublicensing, or redistributing DAWN.
  • Reverse engineering, decompiling, or disassembling it, except to the extent the law expressly permits despite this restriction.
  • Removing or altering copyright notices, or the branding within the software.
  • Circumventing the beta expiry, any licensing mechanism, or any safety control described in this agreement.
  • Using DAWN to build a competing product, or to train a machine learning model on the software itself.

We reserve all rights not expressly granted. DAWN is licensed, not sold, and we retain ownership of it.

04The beta expires

This build stops running after 30 September 2026

The expiry date is compiled into the software. After it passes, this build will no longer start. This licence ends on the same date.

We intend to publish further releases, but we do not promise to. Do not plan work on the assumption that DAWN will be available after that date, and keep your projects in a form that does not depend on DAWN to open them.

Your projects, audio, and settings are unaffected by expiry — they are stored by your DAW and on your own machine, and they remain yours.

05Mac control — please read this properly

This is the highest-risk feature in DAWN

It is enabled by default. You should understand what it does before you use the software.

To carry out what you ask, DAWN’s agent can operate macOS itself. Specifically, it can:

  • Capture your screen, and read the on-screen contents of the application in front.
  • Move the pointer, click, drag, scroll, and type — including keyboard shortcuts.
  • Open, focus, move, resize, and minimise applications and windows.
  • Run a shell command, or an AppleScript, as the signed-in user.

The last item deserves emphasis: those two lanes are not sandboxed. They run with your user account’s permissions, which means their reach is the reach of your own account, not just your DAW.

How the agent decides to act

DAWN acts on its own for low-risk actions — ordinary clicking, typing, and moving around a session — and stops to ask you before high-risk actions, meaning things that are destructive, irreversible, or have effects outside your machine.

It is important to be accurate about what that means: DAWN does not ask permission for every action. If it did, it would not be useful. It asks for the consequential ones.

What protects you

  • A kill switch that stops native events immediately.
  • Confirmation gates on high-risk actions.
  • Secure field refusal — DAWN will not type into a password field it detects, and will not take an unredacted screenshot while one is visible.
  • An audit record of every attempt, kept on your machine, with typed text and command contents redacted.
  • A setting to turn Mac control off entirely.

What you are agreeing to

  • You have the authority to allow software to operate the computer you install DAWN on. Do not install it on a machine belonging to an employer or a client without their permission.
  • You accept that an AI agent operating your computer may do something you did not intend. The protections above reduce that risk; they do not remove it.
  • You will not use Mac control on a machine holding data you cannot afford to have altered, deleted, or shown to your AI provider.
  • You are responsible for maintaining backups. See the Disclaimer.

macOS will separately ask you to grant Accessibility and Screen Recording permissions. Those prompts come from Apple, not from us, and DAWN cannot control your Mac until you grant them. Declining them is a legitimate choice; most of DAWN still works.

06Screenshots go to your AI provider

When Mac control needs to see your screen, DAWN captures an image and sends it to whichever AI provider you connected, because that is where the reasoning happens. There is no on-device model doing this.

That image shows whatever was on your screen at the time. If another application was visible — email, messages, a client’s documents — it is in the image.

The image is used for one exchange and then discarded. It is never written to DAWN’s audit log, saved history, or log files, and text recognition runs locally on your Mac. But it does reach your provider, and what happens to it there is governed by your agreement with them.

If that is not acceptable for your work, turn Mac control off. DAWN remains useful without it.

07Your AI provider accounts

DAWN is bring-your-own-key. It ships with no AI model, no bundled credits, and no included usage. You connect your own account with a provider such as OpenAI, Anthropic, Google, OpenRouter, ElevenLabs, Google Lyria, MiniMax, or OpenCode, or sign in with a ChatGPT account.

  • You contract directly with the provider. We are not a party to that agreement, not a reseller, and not an agent for either side.
  • They bill you, not us. We receive no share. We cannot predict, cap, or refund what you spend, and heavy use of an AI agent can cost real money.
  • Their terms apply to your use. You are responsible for complying with them, including any restrictions on how their service may be accessed.
  • Availability is theirs, not ours. Pricing, rate limits, model availability, regional restrictions, and outages are outside our control. A provider can change or withdraw a model at any time and DAWN will stop being able to use it.
  • Their privacy terms govern your data. Whether they retain your prompts or train on them is a question for them. See the Privacy Policy.

Your credentials are stored in an encrypted vault on your own machine and are never sent to us. Because we never hold them, we cannot recover them if you lose them.

ChatGPT account login

Signing in with a ChatGPT account uses an integration path that OpenAI has not published as a supported route for third-party applications. It may stop working without warning, and it may perform differently from connecting an API key directly. You are responsible for making sure your use of it complies with your agreement with OpenAI. If that matters to you, use an API key instead.

ACE-Step is an optional add-on that runs locally on your Mac. It is not bundled with DAWN, is subject to its own licence, requires a substantial download, and has its own hardware requirements. Whisper speech recognition is likewise an optional local add-on under its own licence.

08Your projects and your music

We claim nothing. Your projects, recordings, and finished tracks are yours, and this licence gives us no rights over them. Nothing you make passes through our servers.

DAWN acts on your live session. It can add, change, and remove things in your project. It keeps a redacted audit record of what it changed, and can reverse actions where the DAW supports reversal — but not every action is reversible, and reversal is not guaranteed.

Save your work and keep backups. An agent making changes to a live session is not a substitute for version control, and this is the most likely way for DAWN to cost you something.

09Data and privacy

DAWN has no Marya Labs backend. It does not check a licence server, does not require an account, and does not transmit usage data to us in the shipped build. Analytics and crash reporting exist as features but are switched off by default and have no endpoint configured.

One exception: on start-up DAWN requests the time from a public time service to check the beta expiry date. That request carries no information about you or your work.

DAWN stores settings, chat history, learned preferences, and its audit log locally on your machine. Local learning is on by default and can be paused, inspected, exported, or cleared. Full detail is in the Privacy Policy.

10Beta software

DAWN is a public beta. It will contain defects. Features may change, be removed, or stop working between versions, and we do not promise backward compatibility.

There is no service level, no guaranteed support response, and no commitment to a future release. See the Public Beta Terms.

11Warranty

DAWN is provided as it is, without warranty of any kind. To the fullest extent the law allows, we exclude all implied warranties, including satisfactory quality, fitness for a particular purpose, and non-infringement.

We do not warrant that DAWN will be uninterrupted or error-free, that its output will be accurate or suitable, or that it will work with any particular version of macOS, Ableton Live, or any plugin.

If you are a consumer, the Consumer Rights Act 2015 gives you statutory rights that this section does not affect. Digital content supplied to a consumer must be of satisfactory quality, fit for purpose, and as described, and nothing here removes that.

12Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost revenue, lost or corrupted projects, lost recordings, lost studio time, missed deadlines, or charges you incur with an AI provider.

Where we are liable, our total liability is limited to the greater of the amount you paid us for DAWN in the twelve months before the claim — which for the free beta is nil — or £100.

We do not exclude liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not permit us to exclude. If you are a consumer, your statutory rights are unaffected.

13Ending this licence

This licence ends automatically on the beta expiry date. It also ends if you breach it materially, or if you stop using DAWN and delete it.

When it ends, stop using DAWN and remove it from your machines. Your projects and audio are yours and are unaffected. Your locally stored DAWN data stays on your machine until you delete it.

14General

This licence is governed by the laws of England and Wales, and disputes will be dealt with by the courts of England and Wales. If you are a consumer outside the UK, this does not deprive you of mandatory protections where you live.

We may update this licence for future releases. Changes apply to versions released after the change, not retrospectively to a build you already have.

If any provision is unenforceable, the rest continues to apply. Our not enforcing something does not waive our right to enforce it later.
